These Terms & Conditions govern the provision of web design and related services by Akari Web Design (operated by Dolce Marketing GK) to its clients. By engaging our services, you agree to these terms.
本利用規約は、Akari Web Design（Dolce Marketing 合同会社が運営）がクライアントに提供するウェブデザインおよび関連サービスに適用されます。サービスをご利用いただくことで、本規約に同意したものとみなします。
1. 定義
"We", "us", and "our" refer to Akari Web Design / Dolce Marketing GK. "You" and "client" refer to the individual or business engaging our services. "Project" refers to the web design or related work agreed upon in writing.
「当社」とはAkari Web Design / Dolce Marketing 合同会社を指します。「お客様」「クライアント」とは当社のサービスをご依頼いただく個人または法人を指します。「プロジェクト」とは書面にて合意されたウェブデザインおよび関連業務を指します。
2. 業務範囲
The scope of each project will be agreed upon in writing prior to commencement, including deliverables, timeline, and pricing. Any work outside the agreed scope will be quoted and agreed upon separately before additional work begins.
各プロジェクトの業務範囲（成果物、スケジュール、料金を含む）は、着手前に書面にて合意します。合意範囲外の作業については、着手前に別途見積もりおよび合意を行います。
3. 支払い条件
All projects require a 50% deposit before work commences. The remaining 50% is due upon project completion and prior to final delivery of files or website launch.
Work will not begin until the deposit has been received. Final delivery — including handover of files, website launch, or transfer of access credentials — will not take place until the full balance has been paid.
Invoices are issued in Japanese Yen (JPY) unless otherwise agreed. Payment can be made via bank transfer to our nominated account details.
すべてのプロジェクトは、着手前に費用の50%をデポジットとしてお支払いいただきます。残りの50%はプロジェクト完了時、最終納品（ファイルの引き渡し、サイト公開、アクセス情報の提供など）前にお支払いいただきます。デポジットのお支払いが確認されるまで作業は開始しません。また、全額のお支払いが完了するまで最終納品は行いません。請求書は特段の合意がない限り日本円（JPY）で発行されます。
4. 修正について
Each project includes two rounds of minor revisions at no additional charge. Minor revisions are defined as small changes to existing approved content, including text edits, colour adjustments, image swaps, and minor layout tweaks.
The following are not considered minor revisions and will be quoted as additional work:
各プロジェクトには、軽微な修正を2回まで無償で含みます。軽微な修正とは、承認済みコンテンツへの小規模な変更（テキスト編集、色調整、画像差し替え、レイアウトの微調整など）を指します。新規ページ・セクションの追加、デザイン方針の変更、ナビゲーション構造の変更、新機能の追加、承認済みセクションの再デザインなどは軽微な修正には含まれず、別途お見積りとなります。
5. キャンセルについて
If a client cancels a project after work has commenced, the deposit is non-refundable. This covers the time and resources already invested in the project.
If cancellation occurs after substantial work has been completed beyond the deposit stage, the remaining balance will be pro-rated based on the proportion of work completed at the time of cancellation.
If cancellation occurs before any work has commenced, the deposit may be refunded at our discretion minus any administrative costs incurred.
作業着手後にキャンセルされた場合、デポジットは返金されません。これは、すでに投じた時間およびリソースに対する対価です。デポジット段階を超えて相当の作業が完了した後にキャンセルされた場合、残額はキャンセル時点の作業完了割合に基づいて按分請求します。作業着手前のキャンセルについては、発生した管理費用を差し引いたうえで、デポジットを返金する場合があります。
6. 知的財産権
Upon receipt of full payment, the client owns all intellectual property rights to the final website and its design, including all files, code, and assets created specifically for the project.
Prior to full payment, all work produced remains the intellectual property of Akari Web Design / Dolce Marketing GK.
We retain the right to display completed work in our portfolio and marketing materials unless the client explicitly requests otherwise in writing. Third-party assets (such as stock images, fonts, or plugins) remain subject to their respective licences.
全額のお支払い完了後、プロジェクトのために制作された最終ウェブサイトおよびそのデザイン（ファイル、コード、素材を含む）の知的財産権はクライアントに帰属します。全額支払い完了前は、制作物の知的財産権はAkari Web Design / Dolce Marketing 合同会社に帰属します。クライアントから書面による申し出がない限り、完成した制作物を当社のポートフォリオおよびマーケティング素材として使用する権利を保持します。サードパーティの素材（ストック画像、フォント、プラグインなど）はそれぞれのライセンスに従います。
7. クライアントの責任
The client is responsible for:
Delays caused by late provision of content or feedback may affect the project timeline. We are not responsible for delays resulting from the client's failure to provide required materials.
クライアントは、プロジェクトに必要なコンテンツ・画像・情報を正確かつ完全に適時提供すること、提供コンテンツが第三者の知的財産権を侵害しないことを保証すること、スケジュール維持のためにフィードバックおよび承認を適時行うこと、ウェブサイトのコンテンツおよびデータの自己バックアップを維持することに責任を負います。
8. 継続保守サービス
Ongoing maintenance services are offered on a monthly rolling basis or as a minimum 3-month commitment at a discounted rate.
Either party may terminate a maintenance agreement by providing 30 days written notice. For 3-month commitments, notice may be given at any time after the initial 3-month period has elapsed.
Maintenance services cover agreed tasks as specified in the maintenance package. Work outside the agreed scope will be quoted separately.
継続保守サービスは、月次更新または割引料金の3ヶ月コミットメントプランでご提供します。いずれの当事者も、30日前の書面による通知をもって保守契約を解約できます。3ヶ月コミットメントの場合、初回3ヶ月経過後にいつでも解約通知が可能です。保守サービスの範囲は契約時に合意した内容に限ります。範囲外の作業は別途お見積りとなります。
9. 責任の制限
We will make reasonable efforts to deliver work to the agreed standard and timeline, and to resolve any issues promptly.
We are not liable for:
Our total liability in any circumstance is limited to the total amount paid by the client for the relevant project or service.
当社は、合意した水準およびスケジュールで業務を遂行し、問題が発生した場合は速やかに対応するよう合理的な努力を行います。ただし、ホスティング会社・プラグイン・プラットフォーム更新など第三者サービスに起因するダウンタイム・データ損失・パフォーマンス低下、ウェブサイトの問題による収益・ビジネス機会の損失、クライアントが提供したコンテンツに起因する問題（著作権侵害を含む）、検索エンジンのランキング変動やアルゴリズム更新、引き渡し後にクライアント自身が行った変更による問題については、当社は責任を負いません。当社の賠償責任は、いかなる場合においても、当該プロジェクトまたはサービスに対してクライアントが支払った総額を上限とします。
10. 準拠法
These Terms & Conditions are governed by the laws of Japan. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Japan.
本利用規約は日本法に準拠します。本規約に関して生じた紛争は、日本の裁判所を専属的合意管轄とします。
11. 規約の変更
We reserve the right to update these Terms & Conditions at any time. Updated terms will be posted on this page with a revised date. Continued use of our services constitutes acceptance of the updated terms.
当社は本利用規約をいつでも更新する権利を留保します。変更後の規約は、改訂日とともに本ページに掲載します。サービスの継続利用をもって、更新後の規約に同意したものとみなします。
